The Shazory Circle

These terms govern participation in The Shazory Circle, an invitation-only creator program operated by Shop Shazil LLC, doing business as Shazory ("Shazory," "we," "us"). By accepting an invitation and activating your account, you ("Circle Member") agree to the terms below.

1. Eligibility

• Eighteen years of age or older.
• Based in the United States. International participation may open at our discretion.
• Minimum one thousand followers on Instagram or TikTok, on a public profile.
• Content history that fits the spirit of Shazory — family, home, lifestyle, pets, or personal storytelling.
• Acceptance is at the sole discretion of Shazory. We may decline any application without explanation.

2. Tiers and Progression

The Circle has three tiers:

• Circle Member — entry tier. Granted on acceptance.
• Storyteller — eligible for review after ten (10) confirmed, non-refunded sales attributed to your code within ninety (90) days. Promotion is reviewed by Shazory and is not automatic.
• Founding Circle — by invitation only. Eligible after twenty (20) confirmed, non-refunded sales, sixty (60) days of consistent activity at Storyteller, a clean compliance record, and an available seat. The Founding Circle is permanently limited to twenty-five (25) lifetime seats.

Founding recognition is permanent. Active benefits (commission rates, audience discount, featured placement, quarterly calls, year-end keepsake) continue while the member remains in good standing.

3. Inactivity and Tier Movement

If a Circle Member generates no confirmed sales for ninety (90) consecutive days, the member's tier eases down by one level. Founding Circle members retain Founding recognition but their active benefits pause until activity resumes. A returning member can climb back through the same progression rules.

4. Commission and Discount Structure

• Circle Member — ten percent (10%) commission on net sales attributed to the member's code. Audience discount of ten percent (10%) off.
• Storyteller — twelve and one-half percent (12.5%) commission. Audience discount of ten percent (10%) off.
• Founding Circle — fifteen percent (15%) commission. Audience discount of twelve percent (12%) off.

Net sales means the order subtotal after discounts, excluding shipping, taxes, gift cards, and any item later refunded, cancelled, or charged back. Commission is calculated on net sales, not gross.

5. Payouts

• Commissions clear after a thirty (30) day return window from the order date.
• Cleared commissions are paid monthly through Shopify Collabs.
• Refunded, cancelled, or charged-back orders reverse the associated commission, even if previously cleared.
• If a member's total earnings in a calendar year approach federal tax reporting thresholds, Shazory may request a completed Form W-9 before further payout. Required tax forms (such as Form 1099-NEC) will be issued where applicable.

6. Personal Codes

Each Circle Member receives two codes:

• A public code for sharing with the member's audience. Sales through this code earn commission.
• A personal-use code for the member's own purchases. This code is tied to the member's customer record and does not earn commission. It may not be shared.

7. Content and Conduct

Circle Members agree to:

• Share Shazory thoughtfully at least once per calendar month using their code or link. Once the member receives or earns a Creator Studio piece, the monthly share becomes a styled post featuring that piece.
• Tag @GetShazory and include the member's public code in the caption.
• Photograph their real life. No staged stock imagery, AI-generated likeness, or imagery the member does not own the rights to.
• Honor the brand voice — quiet, considered, emotion-first.

8. Required Disclosure

Federal Trade Commission guidelines require creators to disclose material connections with brands. Circle Members agree to:

• Use clear disclosure such as #ad in the post caption or visible content.
• Platform partnership tools (e.g., Instagram Paid Partnership label) may be used in addition, never as the only disclosure.
• Place disclosure where it is easily seen — not buried at the end of a long caption or behind a "more" link.

9. Conflicts of Interest

While active in the Circle, members may not promote competing custom-product, print-on-demand, or personalized-keepsake brands. Members may continue working with brands in unrelated categories.

10. Code of Conduct

Membership ends immediately, with no payout of unpaid commissions, if a member:

• Uses their own code on their own orders, or coordinates self-referrals.
• Bids on Shazory's brand name, common misspellings, or branded keywords on paid search platforms.
• Distributes their public code to coupon, deal, or cashback sites.
• Engages in fraudulent activity, fake-follower inflation, or paid traffic that violates platform rules.
• Publishes content that misrepresents Shazory, our products, or our pricing.
• Acts in any way that damages the Circle, other members, or the Shazory brand.

11. Use of Content

By tagging Shazory or using a Shazory code in a post, Circle Members grant Shazory a non-exclusive, royalty-free license to repost, repurpose, and feature that content across Shazory's owned channels — website, email, social, paid — with credit to the creator. Members may request removal of specific content at any time by writing to partners@getshazory.com.

12. Confidentiality

From time to time, Circle Members may receive early product information, unreleased designs, internal launch dates, or brand-input materials. This information is shared in confidence and may not be disclosed, posted, or forwarded outside the Circle until the public release date.

13. Program Changes

Shazory may update these terms, adjust tier mechanics, modify commission rates, or change benefits with notice to active members. Material changes will be communicated by email at least fourteen (14) days before they take effect. Continued participation after the change date constitutes acceptance.

14. Ending Membership

A Circle Member may leave the program at any time by writing to partners@getshazory.com. Cleared, unpaid commissions earned before departure will be paid out in the next monthly cycle. Codes are deactivated on the date of departure.

Shazory may end a member's participation at any time if these terms are violated or if continued participation no longer serves the program.

15. Governing Law

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute arising from the program will be resolved in the state or federal courts of Pennsylvania.
