Content License
Ownership
The creator retains ownership of the original design at all times.
Submission License (all entries)
By submitting a design, the entrant grants Sponsor a non-exclusive, royalty-free, worldwide license to display, reproduce, and adapt (including crop/resize) the submitted content for purposes of running the Contest, promoting the Contest, and operating the Shazory platform.
Production License (Monthly winner only)
By accepting the Monthly prize, the winner grants Sponsor an exclusive, worldwide license to produce, manufacture, sell, market, modify (resize, crop, color-correct only — no substantive editing), and distribute the winning design as part of the Collection for as long as the Collection is actively offered for sale by Sponsor.
While the Collection is actively sold by Sponsor, the winning creator agrees not to grant exclusive commercial licenses for the same design to any third-party brand. The creator may continue to use the design for personal portfolio purposes and non-commercial sharing.
Warranties
Entrant represents and warrants that they own the submission or hold all necessary rights and permissions to submit it, and that the submission does not violate any third-party rights (including copyright, trademark, or privacy/publicity rights).
10
Royalty Terms
Royalty rate
The Monthly winner earns a royalty equal to 10% of net sales of their Collection.
Definition of Net Sales
“Net Sales” means the retail price collected by Sponsor for sales of products within the Collection, minus the following deductions:
- Refunds and returns;
- Taxes (sales tax, VAT, GST, and similar);
- Shipping and handling charges;
- Discounts, promotional codes, and bundle savings actually applied to the order;
- Payment processing fees actually charged by Sponsor’s payment processor.
Net Sales do not include gift card sales, store credit redemptions, or chargebacks reversed in Sponsor’s favor.
Payment schedule
- Year 1: Royalties paid quarterly, within 45 days of each calendar quarter end.
- Year 2+: Royalties paid monthly, within 30 days of each calendar month end.
Minimum payout threshold
A minimum of $50 in earned royalties must accumulate before a payout is issued. Earnings below the threshold roll forward to the next eligible payout cycle. No payout is issued for any period in which earnings remain below the threshold.
Payment method
Royalties may be paid in U.S. Dollars (via direct deposit or check) or as Shazory Circle credits, at the creator’s election. Currency conversion costs (if any) are deducted from the payout.
Tax reporting
For U.S. creators, royalty payments totaling $600 or more in a calendar year will be reported on IRS Form 1099-MISC or equivalent. Creators are responsible for completing IRS Form W-9 (US) or Form W-8 (non-US) before payouts can be issued.
11
Fulfillment
Sponsor handles all production, fulfillment, and customer service for the Collection through Sponsor and its third-party fulfillment partners. The creator is not responsible for, and has no obligation to perform:
- Product manufacturing or printing;
- Inventory management;
- Order fulfillment, shipping, or returns;
- Customer service or support;
- Listing creation, photography, or marketing copy.
Sponsor is not responsible for carrier delays or damage during transit.
Address Errors/Returns: If a physical gift (Daily/Weekly prize) is returned due to an incorrect or incomplete address provided by the winner, Sponsor may, in its discretion, require the winner to pay reshipping costs or may treat the prize as forfeited.
12
Collection Lifecycle
- Launch: The Collection launches within seven (7) days of the Monthly winner announcement.
- Active period: The Collection remains live in the Creator Studio for as long as it generates sales or as long as Sponsor maintains it.
- Retirement: Sponsor may retire any Collection at any time for legal, quality, brand fit, or operational reasons. Royalties for sales completed before retirement remain payable to the creator under Section 10.
- Re-launch: Sponsor may, at its discretion, re-launch a retired Collection (in original or modified form) with the creator’s reasonable consent.
13
Removal & Clawback
Removal
Sponsor may remove any submission or pull any Collection at any time for: legal issues, intellectual property claims, quality problems, brand fit concerns, or operational reasons.
Royalty status on removal
- Removal not caused by creator: The creator retains all royalties already earned through the date of removal.
- Removal for cause (caused by creator): If a Collection is removed due to the creator’s intellectual property violation, fraud, misrepresentation, or breach of these Rules, Sponsor may withhold any unpaid royalties and recover any improperly received royalties from the creator.
14
Verification
Sponsor may require proof of: identity, age, residency, ownership of the submitted design, and originality of the work.
- The Monthly winner must respond to verification requests within seven (7) days of notification.
- Failure to provide satisfactory proof may result in forfeiture of the prize, royalty rights, and any associated benefits, and Sponsor may select an alternate winner from the runners-up.
- For royalty payouts, valid tax forms (W-9 for US creators, W-8 for non-US) must be completed before the first payout.
15
Disqualification
Sponsor reserves the right to disqualify any entrant at any time, including after a winner has been announced. Grounds for disqualification include but are not limited to:
- Cheating, vote farming, or use of bots, scripts, or automation;
- Use of stolen, unauthorized, or non-original work;
- Submission of AI-generated work passing as original creation (AI-assisted work is permitted only if the entrant is the originator);
- Age misrepresentation;
- Use of multiple accounts;
- Violation of any provision of these Rules;
- Conduct that brings the Contest or Sponsor into disrepute.
Effect of disqualification: Sponsor may (a) immediately disqualify the entrant; (b) revoke any titles awarded; (c) void all votes; (d) require the return of any prizes awarded; (e) withhold unpaid royalties; and (f) select an alternate winner from the runners-up.
16
Release, Limitation of Liability & Indemnification
